Kosmos announces pricing of secondary public offering of common shares

Kosmos Energy Ltd. (“Kosmos”) (NYSE: KOS) has announced the pricing of a previously announced underwritten public offering of 40,000,000 of its common shares (the “Offering”), all of which were offered by funds affiliated with Warburg Pincus LLC and The Blackstone Group L.P., respectively (the “Selling Shareholders”).
The price to the public was $7.25 per share. The Offering is expected to close on May 26, 2017, subject to customary closing conditions.
Kosmos said it will not receive any of the proceeds from the sale of the common shares. Barclays is acting as the underwriter of the Offering.
The Offering is being made pursuant to an effective shelf registration statement, including a prospectus, filed by Kosmos with the U.S. Securities and Exchange Commission (the “SEC”) on June 22, 2015.
Kosmos said before interested persons invest, “you should read the prospectus in that registration statement and other documents Kosmos has filed with the SEC for more complete information about Kosmos and the Offering.”
